Terms & Conditions for the Superseed Game Contest
Introduction
Welcome to the Superseed Game Contest (hereinafter referred to as the "Contest"). By participating in this Contest, you agree to be bound by these Terms and Conditions (hereinafter referred to as the "Rules"). Please read them carefully before participating.
No Purchase Necessary
No purchase is necessary to enter or win any prize in this Contest. Void where prohibited by law.
Jurisdiction and Compliance
Participation is void where prohibited by law, including but not limited to jurisdictions where crypto assets or blockchain-based contests are restricted or prohibited. Participants are solely responsible for ensuring compliance with all applicable laws, regulations, and restrictions in their residence jurisdictions. The Promoter makes no representations regarding the legality of participation in any jurisdiction and is not responsible for providing guidance on compliance.
General Conditions
Liability and Indemnity
Liability: By entering, participants agree to release and hold harmless the Promoter, and its respective subsidiaries, affiliates, suppliers, distributors, advertising/promotion agencies, smart contract developers, blockchain networks, each of their respective parent companies and all officers, directors, employees, contractors, and agents of the Promoter and all the aforementioned parties (collectively, the “Released Parties”) from and against any claim or cause of action, including, but not limited to, personal injury, death, damage to or loss of property, technical failures, blockchain network issues, smart contract vulnerabilities, cryptocurrency value fluctuations, tax liabilities, or any other losses arising out of participation in this Contest or receipt, use, or misuse of any prize. Participants further acknowledge that they are solely responsible for any tax obligations incurred as a result of receiving any prize, and the Promoter shall not be liable for any such tax obligations.
Limitation of Liability: In no event shall the Promoter be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to lost profits, loss of data, or any other damages arising from the participation in the Contest or the use, inability to use, or performance of any services or products associated with the Contest, even if the Promoter has been advised of the possibility of such damages. The total liability of the Promoter, in aggregate, for any and all claims arising from or related to the Contest shall not exceed the total amount of USD $34,750 awarded as the prize in the Contest. This limitation of liability shall apply to the fullest extent permissible by law.
Indemnity:
Participants agree to indemnify, defend, and hold harmless the Released Parties from any and all claims, actions, losses, damages, liabilities, expenses, and costs (including reasonable attorneys' fees) arising out of or in connection with participation in this Contest. This indemnification obligation shall extend to any claims or allegations of intellectual property infringement, violation of privacy rights, defamation, or any other legal theory asserted by any third party due to the content of the participant's submissions or conduct during the Contest. Furthermore, participants undertake to promptly notify the Promoter of any such claims and to cooperate fully in the defense of any such claims. The Promoter reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by participants, in which event participants agree to assist and cooperate with the Promoter in asserting any available defenses. This indemnity shall survive the termination of the Contest and these Rules.
Intellectual Property Rights
Ownership: By submitting an entry, participants represent and warrant that they are the sole and original authors or creators of their submission. Participants retain ownership of their submissions.
License: Participants grant the Promoter a non-exclusive, royalty-free, worldwide, perpetual, and irrevocable license to use, reproduce, distribute, display, perform, publish, and prepare derivative works from their submissions in connection with the promotion and operation of the Contest. This license includes, but is not limited to, the right to edit, modify, and adapt the submissions for any media format and through any media channels now known or hereafter developed. Participants acknowledge that the Promoter may use the submissions for advertising, marketing, and promotional purposes without further consent, notice, or compensation. Participants further agree that the Promoter may sublicense these rights to third parties for the purpose of promoting the Contest and the Promoter's related activities. Additionally, participants grant the Promoter the commercial rights to use the submissions for any commercial activities, including but not limited to, merchandising, licensing, and product development, without any further obligation to the participants. Participants agree that the Promoter may exploit the submissions commercially in any manner it deems appropriate, ensuring that all such uses will be in line with the spirit and objectives of the Contest.
Dispute Resolution
Any disputes arising under these Rules shall be resolved through binding arbitration, administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. By entering the Contest, participants expressly waive any right to a trial by jury in connection with any dispute related to the Contest. Furthermore, participants agree to waive any rights to participate in class action lawsuits or class arbitrations, ensuring that all claims and disputes will be resolved on an individual basis. This provision is intended to provide a streamlined and efficient resolution process, while protecting the interests of the Promoter and maintaining the integrity of the Contest.
Governing Law: These Rules and any disputes shall be governed by the laws of the specific jurisdiction in which the Promoter is headquartered, without giving effect to any choice of law or conflict of law rules.
Data Privacy
Consent: By entering the Contest, participants consent to the collection, use, processing, and disclosure of their personal information for the purposes of administering this Contest, verifying eligibility, awarding prizes, and fulfilling legal and regulatory requirements.
No Liability: To the fullest extent permissible by law, the Promoter disclaims any and all liability for any unauthorized access, loss, alteration, or misuse of participant data. Such waiver includes, but is not limited to, liabilities arising from data breaches, unauthorized disclosures, or third-party actions. Participants acknowledge that they engage with third-party platforms and services at their own risk and that the Promoter shall not be held responsible for any data security issues attributable to such third-party interactions. Furthermore, the Promoter disclaims all warranties, express or implied, regarding the security, integrity, or confidentiality of any data provided or obtained through participation in the Contest. Participants agree that the Promoter shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from the use, handling, or storage of participant data, except as required by applicable law.
Data Security: While reasonable security measures will be taken, the Promoter does not guarantee that data transmissions will be secure or free from unauthorized access.
No Use for Token Trading: Participants agree that any information obtained through the Contest shall not be used for trading or financial speculation related to any tokens issued by the Promoter.
Responsibility: Winners are solely responsible for any taxes, fees, or withholdings related to the receipt of any prize. The Promoter shall not be liable for any tax obligations incurred as a result of participation.
Miscellaneous
Modification: The Promoter reserves the right to modify, suspend, or terminate the Contest at any time without prior notice and without any liability or obligation to any participant. Such modifications may include changes to the Contest rules, timelines, judging criteria, or prize structure. In the event of such modification, suspension, or termination, the Promoter may, at its sole discretion, award prizes from among all eligible entries received up to the time of such action. Additionally, the Promoter reserves the right to make any necessary adjustments to ensure the Contest's integrity, fairness, and compliance with applicable laws and regulations. These adjustments may include, but are not limited to, extending deadlines, altering submission requirements, or modifying judging procedures to address unforeseen circumstances or challenges.
Termination: The Promoter reserves the right to disqualify any participant who violates these Rules, engages in any conduct that could damage the reputation or integrity of the Contest, or for any other reason deemed appropriate by the Promoter in its sole discretion. This flexibility allows the Promoter to ensure the integrity and smooth operation of the Contest while maintaining the highest standards of fairness and compliance.
Force Majeure: The Promoter shall not be liable for any failure or delay in performing its obligations under these Rules due to events beyond its reasonable control, including but not limited to natural disasters, war, strikes, or technological failures.
Official Rules for the Superseed Grok3 Game Submission Contest
Participants in the Superseed Grok3 Game Submission Contest are invited to create a game themed around Superseed, using Grok or any preferred AI model. To enter, contestants must share a Twitter thread detailing their game, including a description, a minimum 30-second video, and a quote tweet of the contest announcement. Additionally, entrants must submit their game on Discord's #game-submissions channel, providing the game's code, AI model prompts, and a link to the Twitter thread. Each participant is limited to one submission. Submissions are evaluated by three independent judges, including the Superseed community, who select their top entries based on criteria such as theme alignment, gameplay quality, creativity, and social media visibility. The winner, determined by the highest overall score, receives a $34,750 prize in USDC, delivered on Ethereum mainnet. The winner will be notified through Discord and must provide a valid Ethereum wallet address to claim their prize. Participants are required to strictly comply with the Official Rules, Terms and Conditions, as well as all applicable local, state, and National laws in their Jurisdiction. Superseed expressly reserves the right, at its sole discretion, to amend or modify these rules at any time and to disqualify any entries that do not comply with these requirements or any conduct deemed inappropriate or detrimental to the integrity of the Contest.
- Purpose: The Superseed Grok3 Game Submission Contest ("Contest") is designed to encourage participants to create innovative and engaging games themed around Superseed.
- Eligibility: The Contest is open to individuals who are at least 18 years old at the time of entry. Employees, contractors, and agents of Superseed, as well as their immediate family members, are not eligible to participate.
- Contest Period: The Contest begins immediately upon announcement and ends on April 10th. The selection of finalists and the winner will occur within two weeks following the conclusion of the submission period.
- How to Enter: To participate in the Contest, entrants must complete the following steps:
- Build a Game: Create a game themed around Superseed using Grok or any preferred AI model.
- Post a Twitter Thread: Publish a Twitter thread that includes:
- A description of the game
- A minimum 30-second video showcasing the game
- A quote tweet of the original contest announcement tweet
- Submit Your Game on Discord: Submit the game via the #game-submissions channel on Discord, ensuring inclusion of:
- The game's code
- The prompt(s) used in the AI model, shared via a direct link
- A link to the Twitter thread
- Submission Limit: Each participant is allowed only one submission. Submissions may be modified at any point until the final deadline. If any one submits more than one submission at the time of the closing of the entry period, all entries submitted by that entrant will be invalid.
- Selection of Finalists: Superseed will compile all valid submissions into a designated thread managed by its official account. Subsequently, three independent evaluators—consisting of a representative named David, members of the Superseed community, and a designated streamer—shall individually assess and rank the entries based on their merit. Each evaluator shall select their top ten submissions. Superseed reserves the right to review and validate the rankings to ensure compliance with the Contest's standards and fairness. The evaluations and selections by these independent parties shall be final and binding.
Judging Criteria, Points Calculation:
Points will be calculated and tabulated based on the following criteria, each weighted to contribute to the contestant's overall score:
- Superseed Theme Alignment: Each submission will be evaluated on a scale of 1 to 10, with this criterion comprising 30% of the total score. Entries are expected to exhibit a strong alignment with the Superseed theme and suggestions in the Entry Rules.
- Gameplay Quality: Evaluated on a scale of 1 to 10, this criterion also accounts for 30% of the total score. Submissions will be judged on the quality of gameplay, including functionality, engagement, and user experience.
- Creativity: This criterion, scored on a 1 to 10 scale, represents another 30% of the total score. Judges will assess the novelty and originality of the game design and concept.
- Visibility on Social Media: This criterion contributes 10% to the overall score and is assessed through a subjective percentile ranking. The extent of the game's reach and engagement on social media platforms will be considered.
The overall score will be determined by aggregating the weighted scores from each of these criteria. The entry with the highest total score will be declared the winner of the Contest.
- Prize: The winner will receive a prize of $34,750 paid in USDC, delivered on Ethereum mainnet.
- Winner Notification: The winner will be notified via their Discord account and will be required to provide a valid Ethereum wallet address for prize distribution.
- Game Content Guidelines: All game submissions must adhere to the following content guidelines to ensure they are appropriate for a broad audience. Submissions must not contain any content that is offensive, obscene, defamatory, or otherwise inappropriate. This includes, but is not limited to, content that promotes violence, discrimination, hate speech, or any form of harassment. Games should not include any material that is sexually explicit or suggestive, nor should they depict or encourage illegal activities. Superseed reserves the right to disqualify any submission that, in its sole discretion, violates these content guidelines or is deemed unsuitable for public distribution.
- Intellectual Property: By entering the Contest, participants represent and warrant that they are the sole creators and owners of the submitted game and possess all necessary rights, licenses, and permissions to use and submit the content included in their game submissions. Participants further agree that their submissions do not and will not infringe upon, misappropriate, or violate any intellectual property rights, including but not limited to copyrights, trademarks, or any other proprietary rights of any third party. Any use of third-party content within the submission must be properly licensed or otherwise authorized. Participants agree to indemnify, defend, and hold harmless Superseed and its affiliates from any claims, damages, losses, or liabilities arising from any breach of these representations and warranties.
- General Conditions: Superseed reserves the right, at its sole and absolute discretion, to amend, modify, or supplement these rules at any time without prior notice, including but not limited to changes to the Contest timelines, judging criteria, and eligibility requirements. Furthermore, Superseed retains the authority to disqualify any entrant or submission that, in its opinion, violates these rules, engages in any form of dishonesty, fraud, or misconduct, disrupts the Contest process, or otherwise undermines the integrity or fairness of the Contest. Such determinations by Superseed shall be final and binding, and Superseed shall not be liable for any claims, damages, or losses arising from such actions. These rules are part of and subject to the full Terms and Conditions for the Superseed Grok3 Game Submission Contest. Participants are required to agree to the full Terms and Conditions, which provide additional guidelines, conditions and rules applicable to the Contest. By participating, entrants agree to abide by these Official Rules, the final decisions by the judges and further acknowledge to and agree to the additional terms and conditions.
By participating in the Contest, you acknowledge that you have read, understood, and agree to be bound by these Official Rules and the decisions of the Promoter, which are final and binding in all respects.
